1. Purpose and Scope

This Code of Ethics and Conduct (“Code”) sets out the ethical principles, professional standards, and compliance requirements governing all activities of VertiPay within the European Union and other applicable jurisdictions.

This Code applies to:
- All employees, officers, and directors of VertiPay
- Contractors, consultants, and temporary personnel
- Third parties acting on behalf of VertiPay where contractually applicable

VertiPay is committed to conducting its business in accordance with the highest standards of integrity, transparency, accountability, and respect for applicable European Union laws and regulations.

2. Core Ethical Principles

VertiPay’s business operations are founded on the following principles:
- Integrity – Acting honestly, ethically, and transparently at all times
- Compliance – Full adherence to applicable EU and national laws and regulations
- Respect – Respect for human dignity, patient rights, and professional relationships
- Accountability – Responsibility for actions, decisions, and their consequences
- Confidentiality – Protection of personal, financial, and confidential information

3. Compliance With EU Laws and Regulations

VertiPay complies with all applicable European Union and national laws, including but not limited to:
- General Data Protection Regulation (EU) 2016/679 (GDPR)
- Applicable EU and national clinical trial regulations
- EU and national anti-bribery and anti-corruption laws
- Financial services, payment, and anti-money-laundering regulations, where applicable
- Employment, labor, and equal-treatment legislation

All individuals acting on behalf of VertiPay are expected to understand and comply with the legal and regulatory obligations relevant to their roles.

4. Ethical Conduct in Clinical Research and Patient Reimbursements

VertiPay acknowledges the ethical sensitivity of clinical research and patient participation.

VertiPay commits to:
- Supporting fair, transparent, and timely reimbursement of clinical trial participants
- Ensuring reimbursement processes do not exert undue influence on participation decisions
- Respecting patient autonomy, dignity, and rights
- Acting solely as a neutral financial and technical facilitator, without involvement in clinical decision-making or trial outcomes

5. Data Protection and Privacy (GDPR)

VertiPay processes personal data in accordance with the GDPR and applicable national data protection laws.

Key commitments include:
- Lawful, fair, and transparent processing of personal data
- Purpose limitation and data minimization
- Accuracy and storage limitation
- Appropriate technical and organisational measures to ensure data security
- Respect for data subject rights, including access, rectification, erasure, and restriction

Personal data is processed only for legitimate contractual and legal purposes and is not used for unauthorized or incompatible activities.

6. Information Security and Confidentiality

VertiPay maintains a comprehensive information security framework designed to protect:
- Personal and sensitive data of patients and trial participants
- Financial and reimbursement data
- Confidential client, sponsor, and CRO information
- Internal technical, commercial, and security-related information

Security controls include access controls, logging, monitoring, incident management, and regular reviews.

7. Conflicts of Interest

VertiPay requires that all individuals acting on its behalf avoid conflicts of interest.

Any actual, potential, or perceived conflict of interest must be:
- Promptly disclosed
- Managed transparently
- Resolved in a manner that protects VertiPay, its clients, and trial participants

8. Anti-Bribery, Anti-Corruption, and Ethical Business Practices

VertiPay maintains a zero-tolerance approach to bribery, corruption, and improper influence.

VertiPay strictly prohibits:
- Offering or accepting bribes, kickbacks, or improper advantages
- Improper payments to public officials or private entities
- Any conduct intended to improperly influence business or regulatory decisions

9. Fair Competition and Market Conduct

VertiPay conducts its business in compliance with EU competition law and fair-market principles.

VertiPay commits to:
- Honest and transparent dealings with clients and partners
- Respect for intellectual property and confidential information
- Avoidance of misleading, deceptive, or anti-competitive practices

10. Equality, Dignity, and Workplace Conduct

VertiPay is committed to equal opportunity, diversity, and inclusion.

VertiPay does not tolerate:
- Discrimination or harassment based on protected characteristics
- Abusive, intimidating, or unethical conduct
- Retaliation against individuals who report concerns in good faith

11. Reporting, Whistleblowing, and Non-Retaliation

VertiPay encourages the reporting of suspected violations of this Code, applicable laws, or internal policies.

Reports:
- May be made confidentially
- Will be handled fairly and promptly
- Are protected against retaliation when made in good faith

12. Enforcement and Disciplinary Measures

Breaches of this Code may result in:
- Disciplinary action, including termination of employment or contracts
- Contractual remedies
- Legal action where required by law

VertiPay reserves the right to investigate all suspected violations appropriately.

13. Governance, Review, and Updates

This Code:
- Is approved by VertiPay management
- Is reviewed periodically
- May be updated to reflect legal, regulatory, or operational changes
- Applies to all VertiPay operations within the EU
